How We Are Governed

Structured, inclusive, and accountable governance

Good governance is one of the pillars on which TAMWILCOM's institutional strength is built. Ours rests on a rigorous framework designed to uphold transparency, drive performance, and ensure accountability at every level. It is a system built with a purpose: to keep the institution on a sound footing, command the confidence of our stakeholders, and keep our work firmly aligned with the Kingdom's strategic priorities.

Conseil

The Board of Directors

Steering strategy, setting direction, and safeguarding institutional integrity

The Board of Directors of the SNGFE sets the strategic course for the institution and oversees its execution. Acting within the powers conferred upon the Shareholders' Assembly and the bounds of the company's corporate purpose, the Board addresses all matters about the sound governance of the institution and resolves them through its deliberations. It also carries out an ongoing oversight and audit function, ensuring that actions and outcomes are subject to continuous scrutiny.

The Minister of Economy and Finance chairs the Board and comprises nine directors - three of whom are independent - striking a deliberate balance between institutional expertise, independent judgement, and State representation.

To strengthen its work, the Board has established four specialised committees, each with a clearly defined remit. These committees deepen the quality of decision-making by conducting in-depth analysis, hearing from executive leadership, and issuing targeted recommendations.

The Audit Committee

- On governance, it ensures compliance with regulatory requirements and best practices and periodically evaluates the performance of the institution's governing bodies.

- On remuneration, it helps shape a compensation policy that is balanced, performance-driven, and aligned with the Board's strategic direction.

- On nominations, it guarantees that appointment processes are conducted with the highest standards of professionalism, objectivity, and transparency.

It provides the Board with essential insight into the institution's strategic direction and development roadmap. Composed of five members and chaired by the representative of the Government Authority responsible for Finance, the committee ensures close alignment between TAMWILCOM's trajectory and the nation's broader priorities.

The Risk Committee

The Risk Committee

This committee oversees the institution's risk profile and supervises the overall risk management and steering framework. Like the Audit Committee, it is chaired by an independent member, a safeguard that ensures neutrality and independent judgment.

In 2025, committee attendance reached 88%, a clear reflection of the active and consistent engagement of their members.

Governance that meets the highest institutional standards

Through the interplay between its Board of Directors and specialised committees, TAMWILCOM embodies a governance model rooted in transparency, rigour, and accountability. This structure delivers effective oversight, prudent risk management, and well-informed decision-making, all in service of the institution's strategic mission and the Kingdom's broader ambitions.
